These Terms and Conditions ("Terms") govern your use of the rktech.live website and any services provided by RK Tech ("Company," "we," "our," or "us").

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

Acceptance of Terms

By using this website or requesting services from RK Tech, you confirm that:

• You are at least 18 years of age or acting with the authority of a legal business entity.
• You have the legal authority to enter into this agreement.
• You have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Use of the website or commencement of a project constitutes acceptance of these Terms.

Services Offered

RK Tech provides the following services (collectively, "Services"):

• Custom Software Development (Web, Mobile, SaaS, AI/ML)
• Annual Maintenance Contracts (AMC) for technology and security systems
• Fire & Safety Solutions (detection, alarm, suppression)
• Electrical Infrastructure (HT/LT, cabling, earthing)

• Turnkey Project Solutions
• Intrusion Detection & Access Control Systems (ACS)
• CCTV Surveillance Solutions
• Interior Fit-out Solutions

Services are subject to availability, scope agreement, and applicable regulations. RK Tech reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.

Quotations, Orders & Payments

Quotations: All quotations are valid for 30 days from the date of issue unless otherwise stated. Prices may change after expiry.

Project Commencement: Work begins only upon receipt of a signed purchase order, work order, or written confirmation and agreed advance payment.

Payment Terms:

• Standard payment structure: advance upon order, progress payments during execution, balance on completion — exact percentages defined in the project agreement.
• Hosting, VPS, and SEO/SMO services are billed monthly or annually as agreed.
• Invoices are payable within 15 days of issuance unless otherwise stated.

Late Payments: Overdue amounts may attract interest at 18% per annum, and RK Tech reserves the right to suspend services until outstanding dues are cleared.

Taxes: All prices are exclusive of applicable GST (Goods & Services Tax) unless expressly stated otherwise.

Project Execution & Timelines

Timelines are estimated based on information available at the time of agreement. Delays caused by the following are excluded from RK Tech's liability:

• Delayed approvals, access, or materials from the client.
• Scope changes requested by the client after project commencement.
• Government regulations, force majeure events, or supply chain disruptions.
• Site conditions materially different from those described or expected.

Change Orders: Any modification to agreed scope must be documented in writing and may affect timeline and cost. Verbal instructions to change scope do not bind RK Tech.

Intellectual Property

RK Tech's IP: All content on this website — including text, graphics, logos, designs, software tools, and methodologies — is the property of RK Tech and protected under Indian copyright and intellectual property law.

Client-Commissioned Work: Upon full and final payment, intellectual property rights in bespoke software, mobile apps, or custom deliverables developed solely for the client transfer to the client, unless otherwise agreed in writing.

Third-Party Components: Open-source libraries, third-party APIs, or licensed tools used in projects remain subject to their respective licences. RK Tech will disclose significant third-party components upon request.

Portfolio Rights: RK Tech reserves the right to reference completed projects in its portfolio, case studies, and marketing materials, unless the client explicitly requests confidentiality in writing.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project ("Confidential Information").

• Confidential Information shall not be disclosed to any third party without prior written consent.
• This obligation survives termination of the project or agreement for a period of 3 years.
• Exceptions apply to information that is publicly available, independently developed, or required to be disclosed by law.

For sensitive projects, a separate Non-Disclosure Agreement (NDA) can be executed upon request.

Warranty & AMC Services

Installation Warranty: RK Tech provides a workmanship warranty on installed systems (CCTV, fire safety, electrical, MEP, ACS) for a period of 12 months from the date of commissioning, covering defects in installation workmanship.

Equipment Warranty: Hardware and equipment carry the manufacturer's warranty. RK Tech will assist in warranty claims but is not liable for manufacturer defects.

Software Warranty: Custom software is warranted against bugs and defects for 90 days post-delivery. Post-warranty support is available under a separate maintenance agreement.

AMC Services:

• AMC contracts are governed by the specific terms in the signed AMC agreement.
• 24/7 emergency support under AMC is limited to critical system failures as defined in the contract.
• Scheduled preventive maintenance visits are as per the agreed AMC schedule.
• AMC does not cover damage due to misuse, accidents, power surges, or acts of God unless specifically included.

Limitation of Liability

To the fullest extent permitted by applicable law:

• RK Tech's total aggregate liability for any claim arising out of or in connection with any service shall not exceed the total fees paid by the client for that specific service in the preceding 12 months.
• RK Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption.
• RK Tech is not liable for losses resulting from client-provided incorrect information, third-party failures, or events beyond our reasonable control (force majeure).

Prohibited Use

You agree not to use our website or services to:

• Violate any applicable local, national, or international law or regulation.
• Transmit unsolicited commercial communications (spam).
• Engage in any fraudulent, deceptive, or misleading activity.
• Attempt to gain unauthorised access to our systems, servers, or networks.
• Upload or transmit viruses, malware, or other malicious code.
• Use our hosting or VPS services to host illegal content, phishing sites, or engage in activities that violate our Acceptable Use Policy.
• Reproduce, duplicate, or resell any part of our services without express written permission.

Violation of these prohibitions may result in immediate suspension of services without refund and may be reported to the appropriate authorities.

Termination

By the Client: You may terminate a service agreement with 30 days' written notice. Cancellation charges may apply as per the specific project or service contract. Fees for work completed to date are non-refundable.

By RK Tech: We may suspend or terminate services immediately if:

• Payment is overdue by more than 30 days.
• You breach any material term of these Terms or the service agreement.
• Continuation would violate any applicable law.

Effect of Termination: Upon termination, all licenses granted under these Terms cease. Client data held by RK Tech will be made available for export for 30 days post-termination, after which it may be deleted.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India, including but not limited to the Indian Contract Act 1872, the Information Technology Act 2000, and applicable GST legislation.

Dispute Resolution:

• Negotiation: Both parties agree to first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice of the dispute.
• Arbitration: If negotiation fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitrator shall be mutually agreed upon, and the seat of arbitration shall be Ghaziabad, Uttar Pradesh.
• Jurisdiction: For matters not subject to arbitration, the courts of Ghaziabad, Uttar Pradesh shall have exclusive jurisdiction.

Changes to Terms

RK Tech reserves the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Notify existing clients via email for significant changes affecting ongoing services.

Your continued use of our website or services after the revised Terms take effect constitutes acceptance of the new Terms. We encourage you to review this page periodically.
